thanks for reply.

But the auditor argue that the report was dated 15 October and change in director only on 24 October ( they refuse to change the report date)

Any rule or regulation stated that the report must only signed by old director ? Thanks

Not enough information. How many directors total? Who did the audit? Dear all,

Memorandum and Article Of Association (MA) stated quoum for shareholder is 2 .

If there is DISAGREEMENT between 3 shareholder, (2 :1) based on shareholding of (100,50:150), can all the transaction passed via this 2 shareholder consent ?

Singapore this year abolished any requirement for common seals for companies. You don't need one. Director signatures should be sufficient depending on the company's constitution.
